End User License Agreement

Please read this agreement carefully before using the Ironbooks platform.

This End User License Agreement (the "Agreement" or "EULA") is a binding contract between you and the business you represent ("you," "your," "Customer") and Ironbooks Financial Ltd. ("Ironbooks," "we," "us," "our"). It governs your access to and use of the Ironbooks software application and the bookkeeping services we deliver through it (together, the "Service").

By creating an account, connecting your accounting data, uploading documents, or otherwise using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

What Ironbooks Is

Ironbooks provides AI-assisted, human-reviewed bookkeeping for trades and contracting businesses. We use software and artificial intelligence to read and organize your financial data, categorize transactions, prepare entries, and produce reports. A member of our bookkeeping team reviews the work as part of delivering the Service to you.

Software Plus Service

Ironbooks is delivered as a combination of software and a done-for-you bookkeeping service:

  • This Agreement governs your use of the software and application.
  • The scope, deliverables, fees, and timelines of your bookkeeping service are set out in your separate order, engagement letter, or service agreement with Ironbooks (your "Service Agreement").
  • If the two ever conflict, your Service Agreement controls for the services, and this Agreement controls for use of the software.

Business Use and Authorized Users

  • The Service is for business use only. Personal or consumer use is not supported.
  • You must be an authorized representative of the business with the right to grant access to that business's financial accounts and data.
  • You are responsible for all activity under your account and for the users you authorize.

License Grant

Subject to this Agreement, Ironbooks grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the software for your internal business purposes during your active subscription or engagement.

QuickBooks and Connected Accounts

  • The Service connects to QuickBooks Online and may connect to bank or other financial accounts you authorize.
  • We access these accounts only after you expressly authorize the connection through the provider's secure authorization flow.
  • Your use of those connections is also subject to the applicable terms of Intuit/QuickBooks and any other connected provider, and you are responsible for your own compliance with them.
  • You can disconnect any connected account at any time, from within the Service or from that provider's settings. Disconnecting stops future access.

Your Data and Uploads

  • You may upload or submit documents and information such as receipts, invoices, bills, bank statements, and notes ("Customer Content").
  • You keep ownership of your Customer Content. You grant Ironbooks a limited license to host, process, and use it solely to provide and improve the Service for you.
  • You confirm you have the right to share the Customer Content with us and that it does not break any law or violate anyone's rights.
  • You are responsible for the accuracy and completeness of what you provide. We rely on it to do your books.

AI-Assisted Work and Human Oversight

This section is important — please read it.

  • The Service uses automation and artificial intelligence to categorize transactions, draft entries, and prepare reports. This work is reviewed by our team before it is finalized.
  • AI can make mistakes. Automated output may be incomplete or incorrect, and human review reduces but does not eliminate the risk of error.
  • You remain responsible for your books, financial statements, and tax filings. You should review the work we deliver and tell us promptly about anything that looks wrong.
  • Unless we agree otherwise in writing, Ironbooks is not acting as your accountant, auditor, or tax preparer, and the Service does not provide legal, tax, or accounting advice.

How We Handle Data

We use your data only to provide and improve the Service. We do not sell your data, we do not use it for advertising, and we do not export your QuickBooks data to unrelated third parties. Full details are in our Privacy Policy, which is part of this Agreement.

Your Responsibilities

  • Keep your login credentials secure and tell us promptly of any unauthorized access.
  • Keep your connected accounts active and your information current so we can keep your books accurate.
  • Review the reports, categorizations, and entries we deliver, and approve or flag them in a timely way.

Acceptable Use

You agree not to: reverse engineer, copy, or resell the software; interfere with its operation or security; upload malware or unlawful content; use the Service to access data you are not authorized to access; or use it to break any law.

Intellectual Property

The software and Service, including all designs, models, and content we provide, are owned by Ironbooks and its licensors. This Agreement grants you a license to use the Service, not ownership of it. You keep ownership of your Customer Content and your financial data. If you send us feedback or suggestions, you grant us the right to use them to improve the Service without obligation to you.

Fees

Use of the Service requires a paid subscription or engagement. Fees, billing cycles, and cancellation terms are set out in your Service Agreement. Unpaid fees may result in suspension of the Service.

Disclaimers

The Service is provided "as is" and "as available." To the fullest extent permitted by law, Ironbooks disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Ironbooks does not warrant that the Service will be uninterrupted or error-free, and is not a substitute for a licensed accountant or tax professional.

Limitation of Liability

To the fullest extent permitted by law, Ironbooks will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or penalties or interest assessed against you. Our total liability for any claim relating to the Service will not exceed the amount you paid to Ironbooks for the Service in the three (3) months before the claim arose.

Indemnification

You agree to defend and hold Ironbooks harmless from claims arising out of your Customer Content, your use of the Service in breach of this Agreement, or your violation of any law or third-party right, to the extent permitted by law.

Term and Termination

This Agreement applies while you use the Service. Either party may end the engagement as described in your Service Agreement. We may suspend or terminate access if you breach this Agreement or to protect the security of the Service. On termination, your license ends, you should disconnect your accounts, and data is handled as described in the Privacy Policy and your Service Agreement.

Changes to this Agreement

We may update this Agreement from time to time. Material changes will be posted on this page with a new effective date. Continued use of the Service after changes take effect means you accept the updated Agreement.

Governing Law

This Agreement is governed by the laws of the Province of Saskatchewan and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Saskatchewan will have jurisdiction, unless your Service Agreement states otherwise.
